Terms of Service

1. The KeyGood Service

KeyGood provides an OpenAI-compatible API gateway that helps users manage and control AI API usage.

KeyGood may provide features including:

• Virtual API keys
• Spending limits
• Budget reservations
• Hard spending controls
• Model allowlists
• Concurrency limits
• Usage tracking
• Cost estimation
• Budget alerts
• Provider API key management

KeyGood acts as a control and proxy layer between your application and the AI provider you configure.

2. Your AI Provider Account

You are responsible for the AI provider accounts and API keys that you connect to KeyGood.

For example, if you connect an OpenAI API key:

• You remain responsible for the OpenAI account.
• You remain responsible for the provider's billing relationship.
• You remain responsible for complying with the provider's terms and policies.
• You are responsible for ensuring that the API key you provide to KeyGood is authorized for your use.

KeyGood does not become the owner of your provider account or provider API key.

3. Provider Charges

KeyGood does not replace the billing system of your AI provider.

The AI provider may independently calculate and charge for API usage according to its own pricing, billing rules, rounding methods, minimum charges, taxes, credits, or other applicable policies.

KeyGood's cost calculations and usage records are provided for budget-control and operational purposes and may differ from the final amount reported by an upstream provider.

You remain responsible for charges imposed by your configured AI provider.

4. Virtual API Keys

KeyGood may allow you to create virtual API keys that applications or authorized users can use to access the KeyGood proxy.

You are responsible for:

• Keeping virtual API keys confidential.
• Controlling who receives your virtual API keys.
• Disabling compromised or unauthorized keys.
• Configuring appropriate spending limits.
• Monitoring usage associated with your keys.

A virtual API key should be treated as a credential.

If you believe a virtual key has been compromised, you should disable it immediately.

5. Provider API Key Security

KeyGood stores configured provider API keys in encrypted form and uses them to forward authorized requests to the configured provider.

However, you acknowledge that no security system can provide an absolute guarantee against compromise.

You should only connect provider credentials that you are authorized to use.

6. Spending Controls and Hard Stop

KeyGood provides spending controls intended to help limit AI API expenditure.

These controls may include estimated-cost reservation before a request is forwarded to an AI provider and actual-cost reconciliation after usage information is received.

Because upstream providers, network conditions, streaming behavior, pricing, rounding, retries, configuration errors, and other factors may affect final charges, KeyGood does not guarantee that its spending controls will prevent every possible charge or discrepancy.

The Hard Stop feature is a protective control, not a financial guarantee.

You remain responsible for monitoring your provider account and billing activity.

7. Cost Estimates

Before forwarding certain requests, KeyGood may estimate the expected cost of a request in order to determine whether sufficient budget is available.

Cost estimates may be based on request information such as:

• Model
• Input content
• Estimated input tokens
• Requested output limits
• Configured model pricing

Actual provider usage may differ from the estimate.

KeyGood may reserve more budget than the eventual cost and release or reconcile the difference after the request completes.

8. Model Restrictions

KeyGood may restrict requests to supported models and may allow users to configure model allowlists for individual virtual keys.

A request may be blocked if:

• The requested model is unsupported.
• The model is not allowed for the virtual key.
• The virtual key is disabled or expired.
• The configured budget has been exhausted.
• The concurrency limit has been reached.
• The configured provider is unavailable or disabled.

9. Service Availability

KeyGood is provided on an availability-is basis during the Private Beta and early-access period.

We may modify, suspend, restrict, or discontinue parts of the service when reasonably necessary for:

• Maintenance
• Security
• Abuse prevention
• Infrastructure changes
• Provider changes
• Product development
• Legal or regulatory requirements

We do not guarantee uninterrupted or error-free operation.

10. Private Beta

During the Private Beta period:

• Features may change.
• Limits may change.
• APIs may change.
• Some features may be incomplete.
• Temporary outages or bugs may occur.
• Feedback may be requested to improve the service.

Private Beta users understand that the service is still being validated and developed.

11. Acceptable Use

You agree not to use KeyGood to:

• Violate applicable laws or regulations.
• Gain unauthorized access to systems or accounts.
• Circumvent provider authentication, billing, usage, or security controls.
• Abuse or attack KeyGood or its infrastructure.
• Attempt to access another user's data or credentials.
• Distribute compromised credentials.
• Interfere with the operation of KeyGood.
• Use KeyGood to facilitate fraud, unauthorized access, or other unlawful activity.

You are responsible for the applications, users, and workloads that operate through your virtual API keys.

12. Your Applications and Data

You are responsible for the applications and data that you send through KeyGood.

Because KeyGood acts as an API proxy, requests and responses may temporarily pass through KeyGood infrastructure.

You should not send information through KeyGood unless you have the necessary rights and authorization to do so.

13. Third-Party Services

KeyGood depends on third-party services and infrastructure, including authentication, database, hosting, email, and AI provider services.

KeyGood is not responsible for outages, pricing changes, policy changes, API changes, account restrictions, or other actions taken by third-party providers.

Your use of third-party AI providers remains subject to their applicable terms and policies.

14. Account Security

You are responsible for maintaining the security of your KeyGood account and credentials.

You should use a strong password where applicable and protect access to your authentication methods.

You are responsible for activity performed through your account unless caused by KeyGood's failure to apply reasonable security controls required under applicable law.

If you suspect unauthorized access, contact KeyGood as soon as reasonably possible.

15. Suspension and Termination

We may suspend or terminate access to KeyGood when reasonably necessary to:

• Protect the service or other users.
• Prevent abuse or unauthorized access.
• Address security incidents.
• Investigate violations of these Terms.
• Comply with applicable law.
• Address misuse of third-party services.

You may stop using KeyGood at any time.

16. Intellectual Property

KeyGood and its software, interface, documentation, branding, and related materials are owned by or licensed to KeyGood and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of KeyGood's software or intellectual property to you.

You retain ownership of your own applications, data, provider accounts, and credentials, subject to the rights necessary for KeyGood to operate the service.

17. Disclaimers

To the maximum extent permitted by applicable law, KeyGood is provided on an "as is" and "as available" basis.

We do not guarantee that:

• The service will always be available.
• Requests will always be successfully delivered.
• Cost estimates will exactly match provider billing.
• Hard Stop will prevent every possible upstream charge.
• Third-party providers will remain available or maintain the same pricing or API behavior.
• The service will be free from bugs or security vulnerabilities.

18. Limitation of Liability

To the maximum extent permitted by applicable law, KeyGood will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or provider credits arising from your use of the service.

This includes, where permitted by law, losses resulting from:

• AI provider charges.
• Provider API errors.
• Incorrect or unexpected provider billing.
• Credential compromise caused by user-side handling.
• Service interruptions.
• Network failures.
• Incorrect cost estimates.
• Misconfiguration of spending limits or virtual keys.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Changes to These Terms

We may update these Terms as KeyGood evolves.

When material changes are made, we may update the "Last updated" date and provide additional notice where appropriate.

Your continued use of KeyGood after the updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

20. Governing Law

These Terms are intended to be interpreted under applicable law.

Any governing-law or dispute-resolution provisions applicable to a particular user or jurisdiction may depend on where the user is located and applicable mandatory law.
